Welcome to early.watch ("early.watch", "we", "us", or "our"). These Terms of Use ("Terms") govern your access to and use of our lead generation platform, website, and subscription services (collectively, the "Services").

By creating an account or subscribing to our Services, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. These Terms constitute a binding legal agreement between you (the "Subscriber") and early.watch**.**

IMPORTANT NOTICE: THESE TERMS CONTAIN A BINDING ARBITRATION PROVISION, A CLASS ACTION WAIVER AND STRICT LIMITATIONS ON HOW YOU MAY USE THE LEADS PROVIDED.

Eligibility and B2B nature

The Services are intended solely for business use (B2B). By using the Services, you represent and warrant that:

• You are at least 18 years old.
• You are acting in your capacity as an owner or authorized representative of a business entity (e.g., a dumpster rental or construction services company).
• You have the authority to bind that business to these Terms.

Account registration and security

To access the leads, you must register for an account. You agree to provide accurate, current and complete information during the registration process.

• Credentials: you are responsible for safeguarding your login credentials. You agree not to disclose your password to any third party.
• Responsibility: you are solely responsible for any activities or actions under your account, whether or not you have authorized such activities.

Subscription terms and payments

• Subscription plan: our Services are offered on a recurring subscription basis (e.g., monthly). By subscribing, you agree to pay the fees indicated at the time of purchase.
• Automatic renewal: your subscription will automatically renew at the end of each billing cycle unless you cancel it. You authorize us to charge your payment method (via Stripe) for the renewal term.
• Cancellation: you may cancel your subscription at any time through your account dashboard. Cancellation will take effect at the end of the current billing period. You will continue to have access to the Services until the end of your billing period, and no refunds will be issued for the remaining days in the partial month.
• No refunds: due to the digital nature of the data provided, all sales are final. We do not offer refunds once leads have been delivered or accessed, except where required by law.

License and use of lead data

Grant of license: subject to your compliance with these Terms and payment of fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the data provided ("Lead Data") solely for your internal business marketing purposes.

Restrictions: you agree that you will NOT:

1. Resell or Redistribute: sell, license or distribute the Lead Data to third parties (e.g., you cannot buy our leads and resell them to other rental companies).
2. Scraping: use any automated scripts, scrapers or bots to extract data from our platform.
3. Harassment: use the Lead Data to harass, threaten or defraud any individual.

Legal compliance and marketing restrictions

You acknowledge that the Lead Data contains public information, including names and addresses. You agree that YOU are solely responsible for complying with all laws regarding marketing and communications.

TCPA and Do-Not-Call Compliance: you agree to comply with the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule (TSR) and all federal and state "Do Not Call" (DNC) registries.

• Your responsibility: it is your sole responsibility to scrub phone numbers against the National Do Not Call Registry and any state DNC lists before making calls. We do not scrub these lists for you.
• Consent: you acknowledge that the individuals in the Lead Data have not provided express written consent to be contacted by you. You generally cannot use autodialers or pre-recorded messages to contact them.

Email marketing (CAN-SPAM): if you send emails to leads, you agree to comply with the CAN-SPAM Act, which includes providing a valid physical postal address and a functional opt-out/unsubscribe mechanism in every email.

Indemnification for Misuse You agree to defend, indemnify, and hold early.watch harmless from any claims, fines, penalties or lawsuits (including class actions) arising out of your use of the Lead Data, specifically including any violations of the TCPA, CAN-SPAM Act or other privacy/marketing laws.

Nature of public data

• Source: we aggregate data from publicly available government records (e.g., building permits). We do not create this data.
• Accuracy disclaimer: while we strive to provide current information, government records may contain errors, typos or outdated information. We do not guarantee the accuracy, completeness or timeliness of any Lead Data. We are not responsible if a lead has already hired a vendor or if the contact information in the public record is incorrect.

Intellectual property

The interface, compilation and arrangement of the data on our platform are the exclusive property of early.watch. While the underlying facts (public records) are not copyrighted, our specific database structure, dashboard and software code are protected by intellectual property laws.

Termination

We may terminate or suspend your account immediately, without prior notice or liability, if you breach these Terms—specifically if we receive complaints that you are spamming leads or violating the marketing restrictions in Section 6.

Disclaimer of warranties

THE SERVICES AND LEAD DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE LEADS WILL RESULT IN SALES OR BUSINESS FOR YOU.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL EARLY.WATCH BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR LOSS OF PROFITS. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS PRIOR TO THE CLAIM.

Dispute resolution and class action waiver

Arbitration: any dispute arising out of these Terms shall be resolved by binding arbitration in Delaware, utilizing a neutral arbitrator.

Class action waiver: YOU AND EARLY.WATCH AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION.

Governing law

These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions.
